A note on federal beneficial ownership reporting
Business owners may have heard about the Corporate Transparency Act’s beneficial ownership reporting requirement (sometimes called “BOI reporting”). As of this writing, U.S.-formed companies and their owners are exempt from that federal reporting requirement — only certain foreign entities registered to do business in the U.S. must still report. This area has been unsettled for the past couple of years and could change again, so business owners should keep their ownership records current and check with counsel before assuming the exemption still applies.
